Terms of Service

1. The Service

Simple Ledger is a web application for creating and managing expense ledgers. We may add, change, or remove features at any time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

2. Accounts and access

• You access ledgers using a per-ledger password. You are responsible for keeping your passwords and share links confidential.
• Anyone with a ledger's password has full edit control of that ledger. Anyone with a view-only share link, or the URL of a public ledger, can view it. Share these only with people you trust accordingly.
• You are responsible for all activity that occurs under your ledgers and for the accuracy of the information you enter.
• You must provide a valid email address and keep it current for account and billing communications.

3. Plans, pricing, and payment

• The Service offers a Free plan (limited to 3 ledgers per owner email) and paid plans with additional features. Current pricing is shown on the Pricing page.
• Paid subscriptions are billed in advance on a recurring (monthly or annual) basis through Stripe until cancelled.
• By subscribing, you authorise us (via Stripe) to charge your payment method for the applicable fees, including renewals, until you cancel.
• We may change prices. Changes will not affect your current billing period; continued use after a price change constitutes acceptance.
• Refunds and cancellations are governed by our Refund Policy.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Upload content that is illegal, infringing, or that you do not have the right to store.
• Attempt to gain unauthorised access to other users' ledgers, our systems, or related infrastructure.
• Interfere with or disrupt the Service, including via automated abuse, scraping, or denial-of-service activity.
• Resell or sublicense the Service without our written permission.

We may suspend or terminate access that violates these Terms.

5. Your content

You retain all rights to the data you enter ("Your Content"). You grant us a limited licence to store, process, and display Your Content solely to operate and provide the Service. You are responsible for maintaining your own backups of important data.

6. Intellectual property

The Service, including its software, design, and branding, is owned by Simple Ledger and protected by applicable laws. These Terms do not grant you any rights to our trademarks or intellectual property except as needed to use the Service.

7. Termination

You may stop using the Service and delete your ledgers at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive (such as payment obligations and liability limits) will survive.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Simple Ledger is a record-keeping tool and does not provide accounting, tax, legal, or financial advice. You are responsible for the accuracy and use of your records.

9. Limitation of liability

To the maximum extent permitted by law, Simple Ledger will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim (or, if you are on the Free plan, USD 50).

10. Indemnification

You agree to indemnify and hold harmless Simple Ledger from claims, damages, and expenses arising from your misuse of the Service or violation of these Terms.

11. Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Malaysia for any disputes arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use after changes take effect constitutes acceptance.
